Important. These Terms govern the Studiark service, accounts, AI generation and community features. The Apple Standard EULA separately governs the licence to the iOS app. Nothing in these Terms removes consumer rights that cannot lawfully be excluded.
1. Who we are and how these Terms apply
Studiark is operated by HELMBYTE LTD ("Helmbyte", "we", "us" or "our"), a private limited company registered in England and Wales under company number 16913968, with its registered office at 86-90 Paul Street, London, United Kingdom, EC2A 4NE.
These Terms form a contract between you and Helmbyte when you create an account, generate content, publish content or otherwise use Studiark. If you only browse content without an account, the provisions necessary to govern browsing, safety, intellectual property and liability still apply.
The iOS app is also licensed under the Apple Standard EULA. If these Terms and the Apple Standard EULA address different subjects, each applies to its subject. If they directly conflict, mandatory law and the Apple Standard EULA govern the app licence, while these Terms govern the Studiark service and community.
You can contact us through Settings > Help & Support in the app, through the support link on the Studiark App Store listing, or by writing to our registered office. Privacy and safety requests have dedicated options in Settings > Privacy and Help & Safety and do not require you to post publicly.
2. Eligibility and age
You must be at least 18 years old to create an account, generate content, publish, remix, purchase credits or use Studiark's social features. Studiark is not directed to children.
Unless Studiark expressly offers a separate, verified minor-and-guardian consent feature in your territory, you must not use a photograph, video, voice recording or other reference input depicting or belonging to anyone under 18. A checkbox, family relationship or statement that you are a guardian is not a substitute for a verified flow.
If you use Studiark for a business or organisation, you confirm that you have authority to bind it. You may not use Studiark if applicable law, sanctions or App Store rules prohibit you from doing so.
3. Accounts and security
You must provide accurate information, keep your account secure and promptly tell us if you suspect unauthorised access. You are responsible for activity through your account unless it resulted from our failure to use reasonable security or from circumstances for which the law makes us responsible.
Do not sell, transfer, rent or share an account in a way that bypasses age, consent, purchase or safety controls. We may require additional verification where reasonably necessary to protect users, confirm rights or comply with law.
4. What Studiark does
Studiark lets users create AI-generated or AI-modified videos from prompts, photos, videos, voice and other references; save and organise content; and, where enabled, publish, share, continue, remix, challenge or cast consenting people in videos.
AI models, features, prices, duration, resolution, generation limits, supported inputs, safety filters and availability may differ by model, region, account or time. We may change the model used for a feature where this does not materially reduce a paid entitlement without an appropriate remedy.
5. AI providers and permission to process inputs
Studiark uses Helmbyte systems and third-party AI and cloud providers to create and deliver content. The app will identify or describe the relevant provider before personal data is first sent to that provider and will request explicit permission where required. Current providers may include Google Cloud/Vertex AI and BytePlus, and the provider used may depend on the model and territory.
When you choose to generate after seeing the disclosure, you instruct us to transmit the selected prompt, media, voice, settings and necessary technical information to the displayed provider for generation, service security, abuse prevention and legal compliance, as explained in the Privacy Policy. If you decline the transfer, the affected generation feature will not work, but you may continue to use parts of Studiark that do not require that transfer.
AI providers may reject prompts or inputs, apply safety controls, retain limited records or process data in other countries as described in the Privacy Policy and the in-app provider notice. We do not promise that every requested generation will be accepted or completed.
6. Your inputs: rights, faces, voices and consent
You retain any rights you have in the prompts, photographs, videos, recordings, characters, brand assets and other material you submit ("Inputs"). You grant Helmbyte a non-exclusive, worldwide, royalty-free licence to host, copy, transmit, format and process Inputs only as reasonably necessary to provide, secure, moderate and support Studiark, comply with law, and exercise the rights you select in the app.
For every Input, you confirm that:
- you created it or have all copyright, privacy, publicity, voice, trademark and other permissions needed to use it in Studiark;
- every identifiable adult has given informed permission for the AI generation and for the audience and uses you select, including publication, downloading or remixing where enabled;
- no depicted or recorded person is under 18 unless Studiark has expressly enabled and completed a verified minor-and-guardian flow;
- the Input was not obtained through deception, coercion, surveillance, intimate access or another unlawful or unfair method; and
- you will provide reasonable evidence of permission if a rights holder, depicted person, regulator, AI provider or Helmbyte validly requests it.
Permission to create a private draft does not automatically include permission to publish, advertise, download, remix, create a reusable character or use the person repeatedly. Studiark may require direct approval from the person through Cast Friend or a consent link before an expanded use. You must stop future use if permission is withdrawn and follow any removal instruction we issue.
7. Prohibited content and conduct
You must not use Studiark to create, request, upload, publish, distribute, promote or facilitate content or conduct that:
- sexually exploits or sexualises a minor, or constitutes child sexual abuse material, grooming or child trafficking;
- is non-consensual intimate imagery, a sexual deepfake, voyeuristic content, sextortion, or an intimate depiction of a real person without specific consent to that depiction and publication;
- impersonates, defrauds, blackmails, threatens, stalks, harasses, bullies, defames or deceptively attributes words, actions or endorsements to another person;
- uses a public figure, political candidate, elected official or civic event in a materially deceptive way, for unlawful election influence, or to imply an endorsement that does not exist;
- promotes hatred, terrorism, violent extremism, human trafficking, unlawful weapons activity, suicide or self-harm, or credible violence;
- creates false identity documents, official records, evidence, medical records, financial instruments or other deceptive documents;
- infringes intellectual property, privacy, data protection, publicity, confidentiality, contractual or other rights;
- removes, obscures, falsifies or circumvents AI labels, provenance information, safety filters, rate limits, access controls or moderation measures;
- contains malware, automated scraping, unauthorised data collection or attempts to disrupt or reverse engineer the service; or
- otherwise violates law, these Terms, the Community Guidelines or an applicable AI provider policy.
No disclaimer cures prohibited content. A watermark, parody label, user checkbox or claimed consent does not make child sexual content, non-consensual intimate imagery, fraud or another illegal use permissible.
8. AI outputs
Content produced or modified through Studiark is an "Output". AI can produce unexpected, inaccurate, offensive, biased or legally restricted material and may alter a face, voice, body, setting or meaning in ways you did not request. You must review the complete Output before saving, relying on or sharing it.
As between you and Helmbyte, and subject to third-party rights and applicable law, Helmbyte assigns to you any rights Helmbyte may have in an Output generated for you. This does not transfer rights owned by another person, an Input owner, an AI provider or a model licensor. We do not guarantee that an Output is copyrightable, unique, exclusive, non-infringing, factually accurate or suitable for a particular purpose. Similar or identical content may be generated for others.
Outputs are creative media, not legal, medical, financial, safety, emergency or other professional advice. Do not use an Output as authentic evidence or present it as a real recording of an event that did not occur.
9. Publishing, audiences and social features
Content remains private unless you choose an audience or otherwise share it. Before publishing, you must confirm that your rights and every depicted person's permission cover the selected audience and enabled uses.
When you publish content, you grant Helmbyte a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, transcode, display, distribute and make that content available through Studiark and its delivery infrastructure for as long as it remains published, plus a reasonable backup and legal-retention period. We will not use your private face media or private Outputs in advertising without separate permission.
If you enable Make Yours, Continue, Cast Friend, Challenge or another remix feature, you also authorise Studiark users to use the published content through that feature to create and publish permitted versions within Studiark, subject to the selected settings and all consent restrictions. Turning remixing off stops new in-app remixes but may not automatically remove versions already created lawfully. We may remove or restrict related versions if a depicted person's permission was missing or withdrawn.
Public content may be viewed, recorded, copied, downloaded or shared by others outside Studiark. Privacy settings reduce access but cannot guarantee that another user will not make an unauthorised copy. Choose the audience carefully.
10. AI labels and provenance
Studiark may add visible AI-generated or AI-modified labels, watermarks, content credentials, metadata, model identifiers, SynthID or similar provenance signals to Outputs. These signals may remain when content is downloaded or shared.
You must not remove, crop out, hide, falsify or help another person defeat a required AI disclosure or provenance signal. A separate Studiark branding mark may be removable where the product expressly permits it, but an AI disclosure or provenance signal is not optional where Studiark or law requires it.
11. Moderation, reporting and appeals
We use automated systems and human review to enforce these Terms, the Community Guidelines, AI provider requirements and law. We may refuse or stop a generation; add a warning; limit recommendation, audience, download or remixing; remove content; preserve evidence; suspend or terminate an account; or report content or conduct to relevant authorities where required.
Studiark does not approve every Input or Output before publication, and moderation does not transfer responsibility for your content to Helmbyte. If you see illegal, infringing, impersonating, unsafe or non-consensual content, use Report on the content or the public Help & Safety reporting route. Blocking another user is available from their profile or content controls.
People depicted in intimate imagery, including AI-generated or altered imagery, can submit a removal request without creating an account. We process valid requests and known identical copies within applicable legal deadlines. Reports involving child sexual exploitation or abuse may be reported to the competent authority as required by law.
Where applicable, we will give the affected user a reason for a content or account decision and a way to appeal. We may withhold information where disclosure would create a safety risk, compromise an investigation or violate law.
12. Credits, subscriptions and purchases
Paid features, credit packs and subscriptions are offered through Apple's In-App Purchase system. The purchase screen states the current price, billing period, included credits or benefits, renewal terms and any credit expiry or rollover rule before you buy.
Auto-renewable subscriptions renew unless cancelled through your Apple Account at least as required by Apple before the next billing date. Apple handles billing, cancellation and refunds, subject to applicable consumer law.
Subscription credits reset at the end of each billing period and do not roll over unless the purchase screen expressly says otherwise.
Separately purchased credit packs do not expire unless the purchase screen expressly states a lawful expiry. Promotional or free credits may expire as disclosed and have no cash value.
Credits are personal, non-transferable and cannot be redeemed for cash. We may correct credit balances affected by error, fraud, refund, reversal or chargeback.
If a generation ends without a playable Output because of a verified technical failure, the spent credit will normally be restored. A completed Output that you dislike artistically is not a technical failure, but statutory rights remain unaffected.
We will not materially reduce a prepaid entitlement without providing the service, an equivalent remedy, a credit or a refund where required by law. Nothing in this section limits rights provided by Apple or mandatory consumer law.
13. Privacy
The Studiark Privacy Policy, available in Settings and on the App Store listing, explains what personal data we process, why, where it is processed, how long it is retained, the providers involved and how to exercise privacy rights. The Privacy Policy is a notice, not a blanket waiver of privacy rights.
We request permissions just in time for the relevant feature. Declining an optional permission does not prevent browsing or using unrelated features. If we introduce biometric identification, model training, advertising use of face or voice data, or another materially different purpose, we will provide a separate notice and obtain any additional consent required before that use.
14. Third-party services
Studiark may link to or rely on Apple, AI providers, cloud platforms, content-delivery services or other third parties. Their services and terms may apply separately. You must comply with applicable third-party terms, but we remain responsible for obligations that law places on Helmbyte and do not exclude responsibility merely because we use a provider.
15. Availability, changes and beta features
We aim to provide Studiark with reasonable care and skill but cannot promise uninterrupted availability. Maintenance, capacity, connectivity, safety events, provider restrictions or legal requirements may delay or prevent generation or access.
Features labelled beta, preview or experimental may be less reliable and may change or end. We will give reasonable notice where ending a feature materially affects a paid entitlement, unless urgent security, safety, provider or legal circumstances require faster action.
16. Suspension, termination and deletion
You may stop using Studiark and request account deletion in Settings. We may suspend or terminate access for a material or repeated breach, a serious safety risk, fraud, non-payment, legal requirement or conduct that exposes users or the service to harm. Where appropriate, we will give notice and an opportunity to remedy or appeal.
After deletion or termination, we remove or de-identify personal data according to the Privacy Policy, subject to backups, fraud prevention, safety evidence, legal claims, financial records and mandatory retention. Public copies made by other users or outside Studiark may remain beyond our control, although valid privacy, copyright and safety requests remain available.
17. Consumer rights and warranties
If you are a consumer, Studiark will provide digital content and services with the quality, description and reasonable care required by the laws that apply to you. Nothing in these Terms excludes a statutory guarantee, remedy, refund right or other consumer protection that cannot lawfully be excluded.
Subject to those rights, AI Outputs are probabilistic and provided for creative use. We do not promise a particular artistic result, factual accuracy, uniqueness, commercial success, audience reaction or compatibility with every device or third-party platform.
18. Liability
Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, deliberate misconduct, breach of a duty that cannot lawfully be limited, or any other liability that applicable law does not allow us to exclude.
If you are a consumer, Helmbyte is responsible for loss or damage that is a foreseeable result of our breach of these Terms or failure to use reasonable care and skill. We are not responsible for loss that was not foreseeable, for business loss arising from personal use, or for harm caused by your unlawful use, your failure to obtain consent, an unauthorised third-party copy, or material outside our reasonable control, except where law provides otherwise.
If you use Studiark wholly or mainly for business, to the maximum extent permitted by law: we exclude indirect or consequential loss and loss of profit, revenue, goodwill, opportunity or data; and our aggregate liability arising from Studiark in any twelve-month period is limited to the greater of GBP 100 and the amount you paid to Helmbyte through Studiark during that period. This business cap does not apply to the liabilities that the first paragraph of this section says cannot be limited.
19. Responsibility for breach
You are responsible for valid claims, losses and reasonable costs caused by your deliberate or negligent material breach of Sections 6 or 7, to the extent permitted by applicable law. If you are a consumer, this provision does not create responsibility beyond ordinary law or require you to compensate us for loss caused by Helmbyte or an event outside your control.
A business user will indemnify Helmbyte against third-party claims resulting from the business user's unlawful Inputs, lack of required permissions or intentional misuse, except to the extent the claim was caused by Helmbyte.
20. Governing law and disputes
Please contact Help & Support first so we can try to resolve a complaint. These Terms are governed by the laws of England and Wales. If you are a consumer, this choice does not remove mandatory protections of the country where you habitually live, and you may bring proceedings in any court available to you under applicable consumer law. If you are a business, the courts of England and Wales have exclusive jurisdiction.
21. Changes to these Terms
We may update these Terms for legal, safety, security, provider, technical or product reasons. We will make the current version available in the app and show the effective date. For a material change that adversely affects existing rights or materially changes data use, we will give reasonable advance notice and request renewed acceptance where required. If you do not accept a material change, you may stop using the affected feature and delete your account.
22. General
If a provision is unenforceable, it will be limited or removed only to the extent necessary and the remaining provisions continue. Our delay in enforcing a provision is not a waiver. You may not transfer your account or contract without our consent; Helmbyte may transfer these Terms as part of a genuine reorganisation, financing or sale if your rights are not materially reduced. These Terms, the Community Guidelines, purchase disclosures and any feature-specific terms form the agreement for Studiark, alongside the separate Privacy Policy and Apple Standard EULA.
